ECB Approval for Commerzbank Takeover Suggests Smooth Path Ahead
The fate of Commerzbank's takeover by UniCredit hangs in the balance as the European Central Bank (ECB) reviews the Italian lender's bid. A recent internal ECB supervisory board document suggests a lean towards approval, but with significant execution risks and integration planning weaknesses identified.
The ECB has 60 working days to render a decision on the deal, which would grant UniCredit operational control in late 2026. If approved, this would remove uncertainty for shareholders and align with analyst targets of €46 and €43 per share from DZ Bank and RBC Capital Markets respectively.
However, Commerzbank's management has only expressed 'cautious willingness to talk' about the takeover, leaving room for friction between UniCredit's Andrea Orcel and Commerzbank's Bettina Orlopp over valuation, jobs, or brand stewardship. JPMorgan maintains a 'Neutral' rating with a €38 price target, citing limited cushion if negative news emerges from the review process.
