ECB Greenlights UniCredit's €43 Billion Bid for Commerzbank
The European Central Bank (ECB) is leaning towards approving UniCredit's takeover of Commerzbank, according to an internal document. The document shows that the ECB has found 'no grounds to object' to the deal, but expects a 'challenging and long-lasting' integration process.
UniCredit has built a 48% stake in Commerzbank through a €43 billion hostile bid, prompting resistance from management, staff, and the German government. The ECB's preliminary view is that UniCredit will need to implement a mitigation strategy to build support within Commerzbank as well as stronger checks and balances at UniCredit.
BaFin, the German regulator, raised several concerns about UniCredit's governance and conduct during the takeover, including 'aggressive and partially intransparent behavior.' However, the ECB acknowledged these challenges but concluded they do not justify blocking the transaction.
