UniCredit Clears Key Hurdle on Road to Commerzbank Takeover

UniCredit has taken another significant step in its gradual takeover of Commerzbank. The German banking regulator BaFin has authorized UniCredit to exceed 30% of Commerzbank's capital, paving the way for further consolidation. This development marks an important milestone in the process and triggers a countdown to the European Central Bank (ECB) assessment, which is expected to be completed within 60 working days. If there are no suspensions, the review should wrap up by mid-October.

UniCredit's CEO, Andrea Orcel, has described the investment in Commerzbank as 'evolving from a profitable financial investment into a strategic transaction with significant industrial value creation.' The Italian bank will now hold nearly 50% of Commerzbank following its successful takeover bid earlier this month. German Chancellor Berlin, which holds approximately 13% of Commerzbank's shares, has expressed readiness for talks, indicating a shift in the government's stance from blocking the acquisition to finalizing its terms.

Commerzbank's top management has also signaled openness to negotiations. Chairman Jens Weidmann and CEO Bettina Orlopp have agreed to meet with Orcel via video conference on Thursday, marking an initial step towards finding an 'amicable solution.' UniCredit aims to overcome the German government's hurdle and initiate discussions with workers before addressing governance issues, which are expected to be resolved in 2027. The full integration of Commerzbank into UniCredit will likely take at least two to three years.
