UniCredit Edges Closer to Controlling Commerzbank
Commerzbank's ownership structure has undergone a significant shift without any change in share value. UniCredit now holds 49.65% of Commerzbank's voting rights, with its effective grip on the German lender boosted by Frankfurt's decision to cancel 4.14% of its own shares on August 19. This move reduced the total number of voting rights to 1,080,847,095 and brought UniCredit closer to the psychologically significant 50% threshold.
The Italian bank's actual holdings sit at around 48% of voting rights, with another 11% accessible through financial instruments. However, Commerzbank reports 3.36% via derivatives within its disclosed 49.65% figure, highlighting a distinction between legal ownership and practical control that has rarely been more consequential.
The regulatory path has cleared since early August, when BaFin deemed UniCredit's takeover application complete and forwarded it to the European Central Bank. Reuters reported last week that the ECB is inclined to approve the bid, which has already been priced into Commerzbank's stock. The real suspense now lies in Berlin's corridors and boardrooms, where the terms of any transition will be negotiated.
