UniCredit Edges Closer to Controlling Stake in Commerzbank
Commerzbank's takeover saga is reaching a critical point as UniCredit inches closer to securing a controlling stake in the German lender. The stock price has been hovering just below its 52-week high, driven by expectations of a regulatory green light rather than a completed deal.
The European Central Bank (ECB) appears to be leaning towards approving UniCredit's application to push its stake beyond 30%, with an internal document suggesting the supervisor is inclined to grant approval. However, this would come with a warning that the integration process could be 'challenging and protracted'.
The mechanics of the takeover are straightforward: if UniCredit secures the remaining 2.4% needed, it will gain effective control over Commerzbank's strategic direction. The Italian lender currently holds approximately 47.6% of Commerzbank after acquiring 17.6% in a tender offer that closed in July.
The federal government's 12.7% stake has become the key to unlocking the deal, and any decision on whether to sell could send shockwaves through the market.
