Commerzbank's fate hangs in the balance as UniCredit inches closer to taking control of the German lender. With nearly half of Commerzbank's shares now owned by UniCredit, the Italian bank is just one regulatory signature away from a full takeover.

The arithmetic behind this near-majority ownership is telling, with only 17.60 percent of Commerzbank shares tendered for conversion in UniCredit's initial offer. However, institutional investors were largely absent from this process, allowing UniCredit to accumulate the remaining shares through open-market purchases and other channels.

The European Central Bank (ECB) is now poised to decide the fate of Commerzbank, with its supervisory arm holding the key to the takeover's success. Until then, every additional share acquired by UniCredit remains inert, and investors are left waiting for a binary outcome.
