$700M All-Cash Deal: American Express Acquires TheFork from TripAdvisor

TripAdvisor has entered into an Equity Purchase Agreement to sell its European online restaurant platform TheFork to American Express for $700 million in cash, subject to adjustments. This deal follows completion of French works council consultations and is subject to regulatory approvals, including antitrust clearances in Europe, with closing expected by year-end 2026.

The agreement includes an exclusivity undertaking and a $35 million reverse termination fee payable by the buyer if regulatory approvals are not obtained and other closing conditions are met. American Express will acquire TheFork's business through this all-cash deal, which is part of TripAdvisor's efforts to streamline its portfolio.
