The first sale occurred on September 1, 2026, when Newstead sold 1,439 shares at $317.01 each, leaving her with 35,790 shares directly held afterward. The second sale took place on September 8, 2026, when she sold 1,438 shares at $317.23 each, worth about the same amount as the first sale, leaving her with 34,352 shares.
The Rule 10b5-1 plan is a written, pre-set arrangement that lets a company insider schedule stock sales in advance, at a time when they are not in possession of material nonpublic information. The plan executes trades on its own schedule regardless of what happens at the company afterward.
