Archer to Acquire Wisk, Insitu, SkyGrid in Equity Transaction with Boeing
Archer Aviation has agreed to acquire Boeing's subsidiaries Wisk Aero, Insitu, and SkyGrid in an equity transaction. The deal will give Boeing a significant stake in Archer and move autonomous aircraft, uncrewed defense systems, and airspace-management software under one owner.
The acquisition covers all equity interests in the three principal subsidiaries and related entities, including Insitu Pacific, Wisk Australia, and Boeing Emirates. Archer is not just buying Wisk, but absorbing three businesses with different roles: Wisk's autonomous eVTOL program, Insitu's operational uncrewed aircraft and defense business, and SkyGrid's digital airspace-integration platform.
Boeing will become a large shareholder of Archer, holding approximately 16.5% of the company's Class A shares outstanding after closing. The company will also receive two warrants that could increase its economic exposure if Archer's share price makes exercise attractive.
The transaction is part of Boeing's broader effort to narrow its portfolio and focus on core areas such as commercial aircraft, defense, and services. The agreement extends Boeing's disposal of businesses outside these areas, which it has been doing since completing the sale of Jeppesen and other digital aviation solutions in November 2025.
The deal is subject to regulatory approvals, including expiration or termination of the Hart-Scott-Rodino antitrust waiting period and national-security or foreign-investment approvals. Archer and Boeing expect the transaction to close by the end of 2026, although this timeline remains conditional.
