Bio-Techne Shareholders to Vote on Proposed Merck Acquisition
Bio-Techne Corporation, a Minnesota-based biotechnology company, has called for a special meeting of shareholders to vote on its proposed acquisition by Merck KGaA. The German pharmaceutical giant offered $73.00 per share in cash for the outstanding shares of Bio-Techne common stock, according to the proxy statement.
The proposed merger is contingent upon approval from a majority of Bio-Techne's shareholders. If successful, the deal would result in Bio-Techne continuing as a wholly-owned subsidiary of Merck KGaA, with its existing board of directors recommending that shareholders approve and adopt the merger agreement.
Shareholders are encouraged to vote their shares by mail, phone, or online following the procedures outlined in the proxy statement. The special meeting is scheduled for September 23, 2026, at 9:00 a.m. Eastern Time via live webcast.
