Boeing Transfers Advanced-Air-Mobility Portfolio to Archer Aviation
Boeing is handing over its advanced-air-mobility portfolio to Archer Aviation in a move that will give Boeing nearly 20% of Archer's shares and continued access to Wisk's autonomous-flight technology. The deal, announced on August 10, includes the transfer of three subsidiaries: Wisk Aero, Insitu, and SkyGrid. In exchange, Archer gains a profitable defense company with over $200 million in annual revenue.
The transaction will see Boeing receive new Class A shares equal to 19.75% of Archer's outstanding shares, as well as two warrants covering a number of shares valued at $100 million each. Boeing can nominate one director to Archer's board and has committed to buying up to another $55 million in Archer shares if the company launches a qualifying equity offering.
This deal marks a significant shift for both companies, with Boeing concentrating its capital on core commercial and defense businesses while preserving exposure to emerging technologies. For Archer, the acquisition of Wisk's autonomous-flight technology and Insitu's military drone capabilities will expand its offerings beyond piloted air taxis.
