Honeywell Aerospace Completes Exchange Offer for Unregistered Notes
Honeywell Aerospace has completed its exchange offer for unregistered notes, which expired on August 10, 2026. The company offered to exchange $1.25 billion in outstanding Senior Notes due 2028 for new registered notes with a similar principal amount.
The exchange was made under the Securities Act of 1933 and allowed Honeywell Aerospace to register its debt securities. As a result, certain transfer restrictions and registration rights will not apply to the new notes.
Honeywell Aerospace accepted all outstanding notes that were tendered and not withdrawn, issuing a like principal amount of exchange notes in return. The settlement occurred on August 12, 2026, and the company did not receive any proceeds from the exchange offer.
