IBM CEO Boosts Phantom Stock Stake by 8,376 Units
IBM CEO Arvind Krishna has increased his phantom stock stake by 8,376 units. On August 27, he acquired 8,375.5601 phantom stock units in a discretionary transaction under Rule 16b-3(f), bringing his reported phantom stock balance to 28,447.4670 units.
The phantom stock units are credited under the IBM Excess Savings Plan and track the value of IBM common stock on a one-for-one basis in cash terms. Distribution is deferred until separation from the company, at which point they can be transferred into an alternative investment account or converted to actual shares.
Phantom stock is a form of compensation that gives employees the benefits of stock ownership without actually giving them real shares. The units are used by companies like IBM to motivate and reward staff without diluting ownership or transferring actual shares.
