Microsoft Executives Sued Over Alleged Misleading AI Statements
A lawsuit has been filed against Microsoft Corporation and four senior executives alleging they made misleading statements about AI initiatives and the company's Copilot product family.
The complaint, which covers purchases between May 1, 2025 and January 28, 2026, claims that Satya Nadella, CEO and Chairman of the Board, Amy E. Hood, CFO and Executive Vice President, Jared Spataro, Chief Marketing Officer, AI at Work, and Rajesh Jha, Executive Vice President, Experiences and Devices, signed SEC filings attesting to accuracy while allegedly omitting material adverse facts.
The Named Individual Defendants are accused of knowing or recklessly disregarding that Microsoft's public statements painted a misleading picture of Copilot's success and AI investment returns. The complaint asserts claims under Section 10(b) and Section 20(a) of the Securities Exchange Act of 1934.
