Microsoft Sued Over Alleged Misleading AI Statements in Q2 Earnings
Microsoft is facing a securities class action lawsuit alleging that the company made misleading statements about its artificial intelligence initiatives and Azure cloud business.
The proposed class action, which affects investors who purchased MSFT shares between May 1, 2025, and January 28, 2026, claims that Microsoft's Copilot products experienced significant challenges involving brand positioning, user experience, usage, data silos, computational capacity, organizational issues, and interoperability.
The lawsuit alleges that Microsoft was required to increase capital expenditures by billions of dollars while redirecting graphics processing unit (GPU) and central processing unit (CPU) resources away from Azure to improve Copilot and related AI research. This, in turn, hindered Microsoft's ability to convert Microsoft 365 customers into paid Copilot subscribers and allowed competing AI offerings to gain market share.
The litigation stems from Microsoft's fiscal second-quarter 2026 earnings announcement on January 28, which saw the company's shares fall approximately 10% on January 29. This decline erased roughly $357 billion in market value as investors reacted to concerns surrounding Azure growth and the scale of Microsoft's AI infrastructure spending.
