Microsoft Under Investigation Over Alleged Fiduciary Duty Breaches
Microsoft Corporation (NasdaqGS: MSFT) is facing an investigation by law firm Kahn Swick & Foti, LLC (KSF), led by former Attorney General of Louisiana Charles C. Foti, Jr.
The probe focuses on whether Microsoft's officers and directors breached their fiduciary duties to shareholders or violated state or federal laws.
KSF is investigating the Company's disclosure of disappointing results for its fiscal second quarter ended December 31, 2025, which included slower-than-expected growth of Azure due to computational capacity constraints caused by diverting resources to Copilot applications and AI-related R&D.
A securities class action lawsuit was filed against Microsoft and certain executives for allegedly failing to disclose material information during the class period in violation of federal securities laws.
