Nvidia-Groq Deal Faces Antitrust Scrutiny Over 'Backdoor Acquisition' Allegations
The U.S. Department of Justice (DOJ) is investigating a $17 billion deal between Nvidia and AI semiconductor startup Groq over potential antitrust violations.
The investigation, which began shortly after the two companies announced their agreement in December, centers around whether the transaction was structured as a technology license and talent acquisition to circumvent antitrust review.
Nvidia paid approximately $17 billion for a non-exclusive license to Groq's AI inference-specific semiconductor technology, while key personnel from Groq joined Nvidia to lead the development and scaling of that technology.
The DOJ is examining whether this structure produces effects substantially similar to a corporate acquisition while avoiding automatic review requirements.
