Nvidia's $500B Financing Pushed by SEC's Data Center Rule Change

Nvidia's recent financing initiative is being fueled by new Securities and Exchange Commission (SEC) guidance, which removes restrictions on data center investments.

The tech sector has been getting creative in its hunt for capital, with AI chipmaker Nvidia entering $500 billion partially backstopped agreements last week with private equity firms to support what they're calling a new 'asset class' for computing power.

Experts say the SEC's decision is paving the way for more data center financing by removing risk retention rules associated with securitizations, which require investment sponsors to shoulder some of the risk.

According to Orion Mountainspring, a securitization attorney with Orrick, 'Folks contemplating this transaction will be quite happy about the response from the SEC.' The guidance has been likened to giving sponsors the opportunity to push down required equity in deals over time.
