Nvidia's $7 Billion Licensing Playbook: Centralizing AI Control
Nvidia's latest deal to acquire Poolside AI's core technology for $7 billion is part of a pattern of non-traditional financial maneuvers that allow the company to centralize control over the artificial intelligence supply chain.
The deal, which includes a $6 billion payment for a non-exclusive license to Poolside's Model Factory and a $1 billion investment at a $12 billion pre-money valuation, is the third time Nvidia has used this strategy in the past eight months.
The licensing agreement grants Nvidia the right to utilize the technology while allowing Poolside to retain ownership and continue licensing it to other parties. This structure allows Nvidia to avoid antitrust scrutiny that would accompany a full-scale acquisition.
Nvidia is effectively buying the industrial capacity to build coding models at scale, rather than just the output. By securing the Model Factory, the company ensures it remains the primary beneficiary of the Laguna family's development, regardless of which specific model version eventually captures the most market share.
