P&G Faces Shareholder Proposal to Preserve Eligibility Requirements

The National Legal and Policy Center (NLPC) has submitted a shareholder proposal to Procter & Gamble (P&G), which will be voted on at the company's annual meeting in October. The proposal seeks to preserve the current requirements for shareholder eligibility under Rule 14a-8 of the federal Securities Exchange Act.

Under this rule, shareholders must have owned a minimum amount of stock and for a specific period of time to submit proposals for a vote at corporate annual meetings. NLPC's proposal asks P&G to remain committed to these requirements, regardless of any future changes to the rule.

The Securities and Exchange Commission (SEC) has announced plans to 'modernize' Rule 14a-8 by April 2026, with the goal of reducing compliance burdens for companies. However, NLPC's director of the Corporate Integrity Project, Paul Chesser, believes that these changes will actually raise barriers for smaller shareholders.

P&G opposes the proposal, claiming it is premature. However, NLPC argues that preserving the current requirements is essential to maintaining shareholder access and voice at annual meetings.
