The agreement, signed on August 2, 2026, is subject to regulatory approvals and adjustments. The sale follows the completion of French works council consultations and includes a reverse termination fee of $35 million payable by American Express if necessary.

The deal marks a major shift for TripAdvisor as it streamlines its portfolio. The company will retain ownership of TheFork until year-end 2026, pending regulatory clearances in Europe. Upon completion, the sale is expected to provide a significant boost to American Express's offerings.
