A derivative action has been filed against UnitedHealth Group Inc. (NYSE:UNH) by some shareholders, alleging catastrophic corporate governance breaches from September 2021 through July 2025.

The complaint asserts that executive misconduct generated artificial earnings growth, resulting in a stockholder value loss of over $277 billion between December 2024 and August 2025.

The lawsuit alleges that UnitedHealth fraudulently inflated Medicare Advantage revenue by making members appear sicker through unnecessary diagnoses, capturing $8.7 billion in federal funds in 2021 alone.

The plaintiffs also claim the insurer systematically denied post-acute rehabilitation care using automated algorithms, with beneficiaries who appealed prevailing 99.7% of the time.
