$10 Billion Merger Creates Clearwater Oil Champion
Tamarack Valley Energy and Headwater Exploration have agreed to an all-stock merger worth $10 billion, forming Clearwater Oil Champion.
The combined entity will be a premier North American oil producer with a focus on Alberta's Clearwater formation. Post-merger, Tamarack investors will hold 66.5% of the company, while Headwater investors will own 33.5%. The deal significantly expands the Clearwater footprint, doubling Tamarack's presence in Pelican and Seal, and delivering over 80,000 boe per day of pro forma production.
The merged entity expects immediate accretion to Tamarack's free funds flow per share, lower corporate decline rates, and a reduced breakeven oil price. Management also plans to increase the dividend by 20%. Certain non-core exploration assets will be spun off into Tributary Exploration Inc., giving existing shareholders ongoing exposure to higher-risk prospects.
The merger aims to enhance total shareholder returns by pairing a scaled Clearwater development platform with a separate vehicle focused on growth-oriented exploration. The deal positions the combined entity as a scale player in North American unconventional oil, backed by over 1,500 sections of land and more than 3,000 identified drilling locations.
