Cenovus to Acquire Athabasca Oil in $5.7 Billion Oil Sands Deal
Cenovus Energy has struck a deal to acquire Athabasca Oil Corporation in a cash-and-stock transaction valued at approximately $5.7 billion. The acquisition will boost Cenovus's daily oil production by roughly 45,000 barrels of oil equivalent, while expanding its oil sands operations near existing assets like Christina Lake, May River, and Thornbury. The deal adds over 75 years of proved and probable reserves, including assets like Leismer and Corner, and is expected to increase thermal output potential to 115,000 barrels per day by 2032. Cenovus plans to leverage its steam-assisted gravity drainage (SAGD) expertise to enhance operational performance.
The transaction is projected to generate about $85 million in annual corporate and commercial synergies, with most of these savings expected to materialize within the first full year after closing. Additionally, Cenovus will gain full control of Duvernay Energy Corporation, strengthening its position in the Kaybob Duvernay region. The company intends to fund up to $4.3 billion of the cash consideration through existing cash reserves and short-term borrowings, raising its net debt to an estimated $5.0 billion to $5.5 billion by the end of 2026, while maintaining leverage under 0.5 times adjusted funds flow.
The boards of both companies have unanimously approved the deal, and key Athabasca insiders have agreed to support it. Analysts have rated Cenovus Energy stock as a Buy, with a price target of C$51.00. According to Spark, TipRanks’ AI Analyst, Cenovus is an Outperform due to strong fundamentals, positive earnings updates, and supportive technical indicators, though cyclicality and regulatory risks temper the upside.
