Jefferson Energy Acquires USD Group Crude Oil Logistics Assets for $255 Million

Jefferson Energy Companies has entered into a definitive agreement to acquire USD Group's crude oil logistics assets for $255 million in cash. The deal includes the Port Arthur Terminal in Texas and a 50% interest in the Diluent Recovery Unit in Hardisty, Alberta. Jefferson is a subsidiary of FTAI Infrastructure, which plans to finance the acquisition through existing indebtedness and an acquisition debt facility.

The acquired assets are expected to generate approximately $50 million in annual EBITDA over the next 12 months. The transaction is subject to regulatory approvals and is expected to close during the fourth quarter of 2026.

The acquisition will substantially expand Jefferson's crude oil logistics operations, adding long-term contracted cash flow to its infrastructure portfolio. FTAI Infrastructure said the acquired assets are expected to more than double Jefferson's existing adjusted EBITDA.
