Shell plc has agreed to sell its 16.67% stake in Australia’s North West Shelf (NWS) project to subsidiaries of XRG P.J.S.C. for a base price of $1.45 billion, with additional payments tied to future milestones. The deal, announced on November 3, 2026, has an effective date of January 1, 2026, but is expected to close in 2027 pending regulatory approvals. This divestment is part of Shell’s strategy to streamline its portfolio and focus on more advantageous integrated gas positions.
The NWS project, an integrated LNG and domestic gas development in Western Australia, involves multiple joint ventures with companies like Woodside, Chevron, BP, and others. Shell’s stake is a minority, non-operated interest, meaning it shares in the project’s profits without managing day-to-day operations. The sale includes the transfer of decommissioning obligations to the buyers, potentially reducing Shell’s future retirement costs.
Despite the sale, Shell retains significant exposure to Australian LNG through other projects like the QGC project, Prelude floating LNG facility, and joint ventures in Arrow Energy and Gorgon. The company aims to grow its LNG sales by 4-5% annually through 2030, indicating a continued commitment to the sector. Investors should monitor the progress of the deal, as the final financial contribution will depend on completion, customary adjustments, and any contingent payments.
Shell’s decision to sell its NWS stake follows its 2023 divestment from the Browse project, suggesting a more selective approach to its Australian gas portfolio rather than a complete exit. XRG, the buyer, is an international energy investment company focused on natural gas, chemicals, and energy solutions, expanding its portfolio with this acquisition.
