a16z Seeks Safe Harbor for Decentralized Exchanges from SEC Registration Requirements
Andreessen Horowitz (a16z) has submitted a proposal to the US Securities and Exchange Commission (SEC), urging clarification on exchange rules for decentralized exchanges (DEXs) and their applications. The proposal, developed jointly with the DeFi Education Fund, aims to create a safe harbor that would exempt DEXs from registration requirements under the Exchange Act.
The four objective criteria for DEXs to qualify for this exemption include no custody of funds, automated execution without human intermediation, permissionless access, and credible neutrality. Additionally, the proposal suggests an adapted registration framework for crypto asset trading platforms that operate as traditional intermediaries.
a16z argues that existing measures taken by the SEC do not extend to truly decentralized systems, despite previous clarifications on user interfaces operating without registering as broker-dealers and proposed repeals of certain rules. The initiative is part of the SEC's Crypto Project, which seeks to integrate blockchain technology into US capital markets.
The authors emphasize that regulators must move forward through guidance, exemptions, and traditional rulemaking to establish clear boundaries for decentralized markets in the United States.
