Alpha Modus Holdings Secures $250M PIPE Deal, Regains Nasdaq Compliance
Alpha Modus Holdings has completed a major investment deal that should help it regain its footing on the Nasdaq exchange. The company issued 51,621,560 shares of Class A Common Stock and warrants to purchase an additional 51,621,560 shares at $4.36 per share in a private investment in public equity (PIPE) transaction.
The deal was valued at over $250 million, which is significant compared to the company's current market capitalization of just $7.64 million. The capital infusion should help Alpha Modus Holdings regain compliance with Nasdaq's listing rules, including the minimum stockholders' equity requirement of $2.5 million.
The PIPE transaction also involved the delivery of Bitcoin to the company's Singapore subsidiary, AMOD Tech Pte. Ltd., which was valued at over $250 million based on a reference price of approximately $83,612.20 per Bitcoin on the day of closing.
