Alpha Modus Lands $225M in Bitcoin-Backed Funding Round
Alpha Modus Holdings has secured $225 million in funding through a private placement of shares and warrants, paid entirely in Bitcoin. The deal involves the sale of 51,621,560 Class A common stock shares and an equal number of warrants for the aforementioned amount, with 10 non-US investors contributing a total of 3,170 Bitcoin at a reference price of $71,000 each.
The terms of the agreement include pricing shares and warrants at $4.36 each, based on the average closing price over the three trading days before the deal was announced. Each investor contributed 317 Bitcoin to the funding round.
The transaction will result in a tenfold increase in Alpha Modus's share count, from 4,986,264 Class A shares outstanding as of August 24, 2026, to 56,607,824 after issuance. This substantial dilution for existing shareholders is a significant consequence of the deal.
The company must file a registration statement with the Securities and Exchange Commission within 15 days of closing to cover resale of the shares and shares issuable on warrant exercise. Until the earlier of 30 days after that filing becomes effective or December 31, 2026, Alpha Modus cannot issue further equity without the consent of a majority of investors, with limited exceptions.
