Anthropic, the company behind the Claude AI models, has filed an amended IPO prospectus that includes a striking warning about its own technology. In its updated Form S-1/A submitted on November 2, 2026, the company cautioned investors that its future AI models may soon reach a critical threshold for dramatically accelerated progress. This unusual disclosure comes alongside impressive financial figures, including $17.0 billion in third-quarter revenue, representing a 1,026% year-over-year increase.

The amended filing also reveals that Anthropic's total revenue for the first nine months of 2026 reached $33.2 billion, with the third quarter alone accounting for more than half of that amount. The company has committed $895.4 billion in spending, primarily for compute and infrastructure, and has developer guarantees totaling up to $4.7 billion as of September 30, 2026.

The most notable addition to the prospectus is the risk-factor language related to Anthropic's Responsible Scaling Policy. The company stated that its future models may soon meet the threshold for accelerated AI progress, which could trigger more comprehensive safety reviews. This disclosure highlights the tension between rapid growth and potential regulatory scrutiny that investors will need to consider.

Anthropic is targeting a mid-November 2026 debut on the Nasdaq under the ticker “ANT,” with its IPO roadshow potentially beginning as early as November 10, 2026. However, the company has not yet disclosed the number of shares it plans to sell or the price range it is seeking. Investors will be watching closely to see if further amendments reveal these details and whether the company's models actually cross the progress threshold.
