Binance Buys $100M Circle Shares, Signs Five-Year USDC Promotion Deal
Binance has made a significant investment in Circle by purchasing $100 million worth of shares at a discounted price. The exchange acquired 1.24 million Class A shares for $80.84 each, which is about 14% below Circle's closing price on Monday.
The deal also includes a five-year agreement that requires Binance to promote USDC (USD Coin) through its app and infrastructure. In return, Circle will pay Binance a monthly fee tied to the amount of USDC held in its wallet infrastructure. The exact percentage is not disclosed, but it's expected to impact Circle's distribution costs.
The agreement replaces an earlier deal struck between the two companies in November 2024 and August 2025. The new arrangement locks up Binance's shares for up to two years or until certain conditions are met, giving Circle full voting rights throughout the lockup period.
