Bitari Inc. Files S-1 for Bitcoin Mining Infrastructure Nasdaq Listing
Bitari Inc., a Texas-based BTC mining hosting and infrastructure firm, has filed for a Nasdaq listing worth close to $30 million. The company submitted its S-1 to the SEC on August 21, 2026, as part of a wider push around Bitcoin mining infrastructure plans across the sector.
The filing shows how the firm plans to raise capital and grow its hosting business. Details from the document posted on SEC EDGAR reveal that Bitari will offer about 4.286 million shares at $7 each, raising gross proceeds of approximately $30 million and net proceeds of around $26.95 million after fees.
The company has a controlled ownership structure, with AI Power X Inc., led by Chair Pei Zhao, holding near 85.9 percent of the voting control. This setup means that outside shareholders will have limited say in major decisions. Bitari runs three sites: a 20-megawatt facility in Wheeler, Texas, another under development in Dumas, Texas, and a contracted site in Marion, Indiana.
The firm's revenue for the nine months ended April 30, 2026, came in at around $8.37 million, with net income falling to approximately $184,000. The filing lists a lean team of roughly four employees.
Bitari plans to deploy its IPO raise with 40% going towards strategic acquisitions, no targets specified yet, and the remaining funds allocated for market expansion, new facilities, research, and working capital. Management will have broad discretion over how funds are spent.
