BlackRock Files for Bitcoin ETF with Built-In Downside Protection

BlackRock has filed a prospectus for a new Bitcoin ETF designed to appeal to investors wary of the cryptocurrency's volatility. The iShares Bitcoin Managed Protection ETF (PBIT) aims to launch as early as January 2027 and will use a complex structure of Treasury bills and options to limit losses while capping gains. Unlike traditional Bitcoin ETFs, PBIT won't hold Bitcoin directly but will instead use options on the iShares Bitcoin Trust (IBIT) to provide exposure.

The fund's structure involves three overlapping tranches, each lasting about three months. Each tranche combines a purchased call option with a strike price around 90% of IBIT's starting price to limit losses, and a sold call option to cap gains. The tranches start a month apart, with interest from cash holdings helping to offset the cost of the options. However, the prospectus notes that BlackRock has broad discretion to change the fund's parameters, and fees are not yet disclosed.

Potential investors should be aware of several caveats. The tax treatment of the options could result in a heavier tax bill compared to owning a spot Bitcoin ETF directly. Additionally, extreme market volatility could shrink both the upside cap and the downside protection. The prospectus also acknowledges that PBIT could indirectly push more assets into IBIT, benefiting BlackRock and its affiliates.

While defined-outcome Bitcoin funds have existed since early 2025, none have attracted significant investment. BlackRock's brand and distribution network could change that, appealing to financial advisors and long-term investors seeking Bitcoin exposure with reduced risk. However, investors comfortable with Bitcoin's full volatility may prefer a direct fund like IBIT, which has no cap and simpler tax treatment.
