CFTC Can Advance Crypto Rules Without Legislation, Says Chairman

The Commodity Futures Trading Commission (CFTC) has the authority to advance rules for cryptocurrencies under its existing powers, according to Chairman Rostin Behnam. The CFTC's regulatory authority in the digital asset space can be traced back to the Commodity Exchange Act of 1936.

The agency has long regarded Bitcoin and other virtual currencies as commodities, giving it direct regulatory power over commodity derivatives markets. However, the CFTC's comprehensive and ongoing regulatory authority over spot trading platforms is not as clear-cut as its jurisdiction over securities markets.

The CFTC first clarified that virtual currencies are commodities in the Coinflip case of 2015. In 2023, it sued Binance and its founder Changpeng Zhao, which ultimately ended in a settlement. This history allows the CFTC to intervene through anti-fraud, anti-manipulation, and derivatives rules.

From a capital perspective, market structure rules determine whether institutional funds can enter trading, custody, clearing, market-making, and tokenized asset services with low legal risk. Banks and asset management firms will not deploy long-term capital based solely on verbal policy support; they need clear customer asset segregation, capital adequacy, market monitoring, conflict of interest, trading reporting, and registration obligations.
