Circle and Binance Strengthen Partnership with New Five-Year USDC Deal
Circle, a leading provider of digital asset and stablecoin infrastructure services, has deepened its commercial partnership with Binance through a new five-year agreement. The deal replaces earlier deals from November 2024 and August 2025, aiming to promote the use of USDC (USD Coin) via Circle's Modular Smart Contract Wallet infrastructure.
Under the terms of the agreement, Circle will pay Binance a monthly incentive fee based on USDC balances in these wallets. In return, Binance will undertake additional efforts to promote USDC on its platform. Both parties retain the right to terminate the deal under specified conditions.
Circle also completed a $100 million private placement of 1,237,011 Class A shares to Binance at a discounted price of $80.84 per share. As part of the subscription agreement, Binance accepted a lock-up restricting sales and certain derivatives on the shares for up to two years or until it terminates the commercial arrangements in defined circumstances.
This move reinforces Circle's strategic partnership with Binance and solidifies its position as a significant shareholder while maintaining full voting rights on the subscribed stock.
