CleanCore Dumps Dogecoin to Fund $100M AI Pivot Amid Stock Dilution Concerns
CleanCore, a cleaning firm, has shifted its focus to artificial intelligence (AI) infrastructure after raising $100 million through an equity offering. The company issued 275.8 million new shares, increasing its common stock outstanding from 226.3 million to 502.1 million, or by 121.9%. This move is part of a broader effort to pivot away from cleaning products and Dogecoin treasury assets.
The prospectus for the offering states that CleanCore sold approximately 463 million DOGE on July 20 for about $33.4 million. The proceeds were used to fund its AI infrastructure segment, but it's unclear how much DOGE remains in its treasury. Additionally, the company has issued pre-funded warrants covering 124.2 million shares and investor warrants covering up to 400 million shares.
The offering closed on August 12 with approximately $100 million gross, leaving a net of about $92 million after fees. CleanCore will use these proceeds to fund its Minnesota joint venture, which has an initial budget of $479 million. The company also has commitments totaling up to $500 million for the joint venture.
