CleanSpark, a publicly traded Bitcoin miner, has completed a massive debt financing deal, raising $2.276 billion in senior secured notes. This move marks one of the largest financing transactions for a publicly traded Bitcoin miner this year, giving CleanSpark significant capital to expand its data-center infrastructure and refinance existing debt.
The financing was placed with qualified institutional buyers under Rule 144A, allowing public companies to raise debt from large investors without conducting a conventional public bond offering. This distinction matters as the economics of the mining sector continue to change, with power contracts, substations, land, and large data-center campuses becoming valuable assets in their own right.
CleanSpark has been building around this overlap, focusing on expanding its sites without relying entirely on equity issuance or selling Bitcoin reserves.
