Coinbase Secures Conditional Approval for New Federal Charter

Coinbase, one of the largest cryptocurrency exchanges in the United States, has undergone significant changes to its regulation. Prior to April 2026, Coinbase operated under a patchwork system, registering as a money services business with FinCEN and holding individual licenses in nearly every state.

This setup was expensive and slow to navigate, forcing Coinbase to manage dozens of separate relationships. However, on April 2, 2026, the Office of the Comptroller of the Currency granted conditional approval for Coinbase to charter a new subsidiary called Coinbase National Trust Company.

The charter effectively replaces the old system with a single federal regulator overseeing everything and allows Coinbase to act as a qualified custodian for digital assets under SEC rules. This means Coinbase can serve institutional clients, but it does not let the company take deposits or issue loans.

While some critics have expressed concerns that folding crypto firms into the federal banking system could expose the wider financial system to added risk, Coinbase's chief legal officer described the approval as validation of years spent building compliance and regulatory trust with federal agencies.
