Coinbase's Lawsuit Victory Clouded by SEC's Continued Ambiguity
The SEC's lawsuit against Coinbase has come to an end, but not without controversy. The regulator dropped its charges in February 2025, dismissing the case with prejudice and without any penalties or admission of wrongdoing from Coinbase.
However, many argue that this outcome is more a result of politics than a vindication for Coinbase. The SEC's decision to drop the lawsuit leaves unresolved the question of when a digital-asset transaction becomes a security, a crucial issue in the crypto space.
The case began in June 2023, when the SEC charged Coinbase with operating as an unregistered securities exchange, broker, and clearing agency since 2019. The regulator also accused Coinbase's staking-as-a-service program of being an unregistered offering of securities.
Coinbase CEO Brian Armstrong claimed that SEC staff had suggested delisting all cryptocurrencies except Bitcoin before litigation, but the SEC denied this, stating that it never formally recommended such a move.
