Crypto Vaults Face SEC Scrutiny Over Human-Controlled Yield Strategies
SEC Commissioner Hester Peirce has issued a warning that crypto vaults could face federal securities-law scrutiny when people control how assets earn yield. This is because, in some cases, human controllers may be seen as managing financial strategies.
Morpho Vault V2 offers an example of this issue. In its architecture, curators choose the strategy and appoint allocators to move assets within those limits. While users interact with smart contracts, curators still decide where capital can go and how much risk the vault can take.
Pierce's statement raised questions about which analogies fit different types of vaults. Some may resemble fixed unit investment trusts, management investment companies, or separately managed accounts. Involvement in managing vaults or lending strategies could also raise investment-adviser issues.
