Evernorth Secures $30M in Convertible Financing Ahead of XRPN Listing

XRP-focused firm Evernorth Holdings has secured $30 million in convertible financing from South Korea's NH Investment & Securities. The deal is tied to its planned SPAC merger with Armada Acquisition Corp. II and will provide more capital for XRP purchases as it prepares for a Nasdaq listing under the ticker XRPN.

The financing consists of 4% Convertible Senior PIK Notes due 2031, which can be converted into cash or Evernorth Class A shares at the purchaser's election. Ripple is identified as the sole stockholder of Evernorth in the SEC Form 8-K filing.

Evernorth plans to deploy capital across the XRP economy through various strategies designed to increase XRP per share over time. The company has received early backing from Ripple, Pantera Capital, and SBI Group, which is using a corporate treasury model similar to MicroStrategy.

The deal also brings South Korean institutional capital into Evernorth's XRP strategy and gives the company another potential source of capital as it builds its XRP-focused treasury ahead of its planned public listing.
