Evernorth's Big Bet: Nasdaq Listing Puts Spotlight on XRP Treasury Model
Evernorth Holdings has filed an amendment to its Form S-4 registration statement with the SEC, moving closer to its merger with Armada Acquisition Corp II and a Nasdaq listing under the ticker XRPN.
The company's plan is to become the largest publicly traded XRP treasury company by utilizing lending markets, liquidity provisioning, and validator operations on the XRP Ledger, as well as Ripple's RLUSD stablecoin.
Evernorth holds 473 million XRP tokens, which it acquired through purchases and contributions from Ripple. The company aims to grow its XRP per share and generate yield through the XRP Ledger.
The employment terms for top executives are also revealed in the filing, with Jessica Jonas (CLO) set to earn a $400K base salary, 50% target bonus, and $4.5 million in RSUs. Sagar Shah and Meg Nakamura each get a $300,000 base salary, 50% target bonus, and $2.8 million in RSUs.
The total equity commitment to the three executives is over $10 million, on top of their base pay and bonus targets. This suggests that Evernorth is betting heavily on its executives hitting aggressive growth numbers before and after the Nasdaq listing.
