Fortitude Mining Holdings to Merge with HeartSciences Inc. on Nasdaq

Fortitude Mining Holdings, a Zcash-focused mining operation owned by Digital Currency Group (DCG), has announced a definitive all-stock merger agreement with Nasdaq-listed HeartSciences Inc. This deal is expected to close in the second half of 2026, subject to regulatory approvals and shareholder votes.

The combined entity will trade on the Nasdaq Capital Market under the ticker TUDE, with DCG retaining roughly 95% ownership and HeartSciences shareholders holding a minority stake. As part of this deal, Fortitude has placed a $31.5 million purchase order for 9,000 Bitmain Antminer Z15 Pro miners to boost its hash rate by approximately 7.56 GSol/s.

Fortitude's financials have shown significant growth, with Q2 2026 revenue of around $20.9 million and adjusted EBITDA of about $8.5 million. The company's annualized output as of May 31, 2026, was approximately 157,000 ZEC, supported by a power portfolio exceeding 60 MW spread across seven US sites.
