Genius Group Taps Preferred Stock to Fund New Bitcoin and AI Treasuries
Genius Group has announced plans to rebuild its bitcoin treasury after selling off its entire stash just months ago. The NYSE-listed AI-powered education company aims to create parallel AI and bitcoin treasuries worth a combined $1.6 billion, with total company assets targeted at $2 billion by fiscal year 2031.
The move comes after Genius Group sold its remaining 84 BTC in February 2026, using the proceeds to eliminate $8.5 million in debt. CEO Roger James Hamilton explained that every dollar of preferred capital deployed into their bitcoin and AI treasury will generate returns above the preferred dividend rate, flowing directly to ordinary shareholders' net asset value.
The company plans to draw on its $1.2 billion SEC-cleared shelf registration to issue Perpetual Preferred Securities, targeting an initial $12.5 million raise. Proceeds would be split between the AI treasury, the bitcoin treasury, and a cash reserve covering about 18 months of dividend payments.
The plan mirrors moves by corporate holders of bitcoin, such as Strategy, which has raised over $16 billion via perpetual preferred stock for its bitcoin holdings.
