Iren Creates $476M Overhang with Mirantis Share Registration

Iren, a Bitcoin miner, has created a potential overhang worth $476 million after registering nearly 12 million shares issued in its acquisition of Mirantis for resale. The block represents about 95% of the shares held by former Mirantis investors and employees.

The registration allows these new holders to sell their stock through public or private transactions, but it does not indicate that any holder has sold or intends to sell. Iren issued 12.6 million shares alongside $40 million in cash as part of the acquisition deal, which was valued at approximately $625 million.

The potential resale block could add selling pressure to Iren's stock, which was down about 3% to $39.76 as of the end of market closing on Wednesday. However, the filing does not establish that the potential resale block caused the decline.
