Metaplanet's Executive Option Capacity Sparks Shareholder Dilution Concerns
VanEck has taken a closer look at Metaplanet's Bitcoin treasury strategy and highlighted potential executive dilution. According to VanEck, Metaplanet's executive option capacity is equivalent to 22.4% of shares, which is a significant concern for shareholders.
The issue is not that Metaplanet is selling its Bitcoin holdings, but rather how much shareholder dilution could accompany the strategy. As part of its analysis, VanEck noted that while Metaplanet has cut executive base salaries by around 15%, the reduction comes alongside substantial equity-based compensation.
While using stock options to align executives with shareholders is not unusual, the scale at which Metaplanet is doing it raises concerns. As a company that explicitly sells investors a Bitcoin-per-share growth story, dilution becomes part of the treasury math.
