MiCA Compliance Costs Trigger Europe's Crypto M&A Wave

The European Union's Markets in Crypto-Assets (MiCA) regulation has brought significant changes to the crypto market. With the transition period ending on July 1, 2026, unlicensed firms must stop providing covered crypto services or execute wind-down plans and help customers move assets to an authorized provider or self-hosted wallet.

The MiCA license gives access to a passporting system but also brings continuing duties, including governance, capital, market conduct, complaint handling, cybersecurity, and anti-money laundering systems. These fixed costs weigh heavily on smaller exchanges, brokers, and custodians.

In the UK, the Financial Conduct Authority (FCA) will open its authorization gateway on September 30, 2026, and trading platforms, custodians, intermediaries, stablecoin issuers, and firms arranging staking will need authorization. The FCA's final crypto rules extend client-asset protections to crypto custody and cover safeguarding duties for authorized custodians.

The high cost of MiCA compliance may push smaller crypto companies towards mergers, sales, or bank partnerships, a pattern that could develop in the UK as well. Banks can use acquisitions to gain technology, licenses, and specialist teams without building every service internally, while crypto firms can gain capital, compliance staff, distribution, and customer relationships through partnerships.
