Nakamoto Buys BTC Inc and UTXO Management in $107M All-Stock Deal
Nakamoto, a Bitcoin treasury company traded on Nasdaq under the ticker NAKA, has acquired BTC Inc and UTXO Management GP in an all-stock deal valued at approximately $107.3 million.
The transaction consolidates Bitcoin media, events, and asset management operations under a single publicly listed entity. The deal was structured around a call option that Nakamoto held to acquire BTC Inc under a Marketing Services Agreement, while BTC Inc itself held a separate call option to acquire UTXO.
BTC Inc is the parent company of Bitcoin Magazine and the organizer of The Bitcoin Conference. UTXO Management advises 210k Capital, a hedge fund focused on Bitcoin and Bitcoin-related securities. Both firms were already connected to Nakamoto through existing contractual agreements before the acquisition was finalized.
Nakamoto Chairman and CEO David Bailey said the acquisition has been part of the company's plan from the start, with the intent to run a portfolio spanning media, asset management, and advisory services that scales alongside Bitcoin's long-term development. Bailey also leads BTC Inc as its co-founder and CEO, meaning the deal consolidates companies under his control into one public entity.
