Nigeria's Crypto Tax Rules Turn Exchanges into 'Tax Collectors'

Nigeria's new guidelines for taxing virtual assets have been met with concerns from financial advisory firm PwC, which warned that VASPs (Virtual Asset Service Providers) may become 'de facto tax collectors' under the rules. The guidelines, published by the Nigeria Revenue Service in July, require VASPs to withhold tax on disposals, deduct stamp duty in token units, and enforce tax-identification requirements before activating customer accounts.

PwC noted that non-compliance with these obligations can result in steep penalties, including fines of up to 10 million naira for the first month of default and 1 million naira for each subsequent month. Additionally, VASPs or peer-to-peer marketplaces that fail to comply face a fine of 40% of the amount not deducted, while a failure to remit tax already deducted attracts 10% per year plus the central bank's benchmark monetary policy rate.

PwC also identified Nigeria's large peer-to-peer virtual-asset market as one of the biggest challenges facing the NRS. While P2P marketplaces operated by VASPs carry full collection obligations, 'true off-platform bilateral transactions' rely entirely on taxpayers self-assessing annually, creating an enforcement gap that the NRS will need to address.

Despite these concerns, PwC noted that the guidelines represent a workable starting point for an until-now unregulated area of Nigerian tax law. The firm advised taxpayers active in virtual assets to register promptly for a tax identification number and urged VASPs to review their systems' readiness to withhold, calculate, and remit taxes in token units ahead of enforcement.
