Parataxis Ethereum and Korea Terminate Merger Amid Delisting Dispute
Parataxis Ethereum and Parataxis Korea have officially terminated their planned merger, effective October 6. The decision came amid ongoing legal challenges surrounding Parataxis Korea’s delisting, which complicated the merger’s timeline. Both companies’ boards approved the termination, and a shareholder meeting scheduled for November 27 was canceled. Parataxis Ethereum cited prolonged uncertainty for shareholders and potential financial strain from appraisal claims as key reasons for ending the deal.
Under the now-canceled merger terms, Parataxis Ethereum would have issued 29,773,483 common shares and 195 preferred shares. The exchange ratio was set at one Parataxis Ethereum share for 0.2806763 Parataxis Korea shares. The merger agreement included a clause allowing either party to terminate if the combined value of shares submitted for appraisal rights exceeded 20 billion won. Parataxis Ethereum expressed concerns about the potential burden large-scale claims could place on its liquidity and financial stability.
The separate listing dispute remains unresolved. The Korea Exchange decided to delist Parataxis Korea on August 19, prompting the company to file an injunction in Seoul Southern District Court the following day. The court’s decision to suspend the delisting pending further review has put the procedures on hold. Parataxis Korea stated it would continue exploring ways to enhance shareholder value based on the injunction’s outcome and other future conditions.
